Important. These Terms govern use of the website and digital services. A client relationship for advisory services is created only through a signed Client Mandate, Work Order, proposal, engagement schedule or other written engagement accepted by 0to1 Advisory.
1. About these Terms
These Terms & Conditions govern access to and use of the websites, portals, assessments, forms, downloads, protected workspaces and other digital services operated under the 0to1 Advisory brand (collectively, the “Site”). “0to1 Advisory,” “we,” “us” and “our” refer to 0to1 Advisory and the applicable affiliated entity or operating organisation providing the relevant Site or service.
By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
2. Business and institutional users
The Site is designed primarily for businesses, institutions, investors, professional advisers, public bodies, development organisations and authorised representatives acting in a professional capacity. You represent that you have legal capacity to use the Site and, where you act for an organisation, authority to act for that organisation.
3. No client relationship from browsing alone
Browsing the Site, completing a diagnostic, downloading a report, sending an enquiry or viewing content does not by itself appoint 0to1 Advisory or create an advisory, fiduciary, agency or professional-services relationship. An advisory relationship is established only when the applicable engagement terms are accepted, including through an electronically signed Client Mandate or other written instruction accepted by 0to1 Advisory.
4. Website information is general
Public content is provided for general business and informational purposes. It may discuss transactions, capital markets, strategy, investment readiness, enterprise value, public programmes or other commercial subjects, but public content is not a substitute for advice tailored to a specific mandate. Formal recommendations, deliverables and responsibilities arise only within the scope of an agreed engagement.
5. No securities offer or solicitation
Unless expressly stated in transaction-specific documentation issued for a legally permitted purpose, nothing on the public Site constitutes an offer to sell, solicitation of an offer to buy, recommendation to acquire or dispose of any security, financial instrument, investment product or regulated financial service. Any transaction-specific offer or solicitation is governed exclusively by the relevant transaction documents and applicable law.
6. Forward-looking, illustrative and estimated information
The Site may contain projections, scenarios, targets, estimates, forecasts, market observations, illustrative transactions or forward-looking statements. These are inherently uncertain and may depend on assumptions, market conditions, management actions and events outside our control. Actual results may differ materially. Unless required by law or expressly agreed in a mandate, we have no obligation to update public forward-looking content after its publication date.
7. Diagnostics, assessments and generated reports
Public diagnostics and assessments are designed to help users organise a question, identify possible priorities and decide whether a conversation may be useful. Results are not certifications, valuations, audit opinions, investment recommendations or guarantees. Generated reports are based on information supplied by the user and the rules of the relevant tool at the time of use.
8. Client Mandate and electronic execution
The Site may allow an authorised representative to execute a Client Mandate electronically. By signing and submitting a mandate, the signatory confirms authority to bind the named client, consents to electronic records and signatures, and intends the electronic act to have legal effect. The Site may record timestamps, email address, browser and device information, network metadata, signature image and a cryptographic record hash for authentication, security, evidentiary and contract-administration purposes.
9. Fees and payment information
Any fee shown on the Site applies only to the service and terms stated with it and may be changed prospectively. Current Discovery pricing on the Site is USD 9,998 for Business or Institution Discovery and USD 15,700 for Investor or Allocator Discovery. An approved Discovery Grant reduces the client contribution for that Discovery to USD 998. A signed Discovery invoice may be paid in full or through the 27% and 73% instalment option shown on the invoice. Fees for work after Discovery are agreed separately in writing.
Payments made through the Site are processed by Stripe. A browser redirect or payment screen is not treated by 0to1 as proof that an issued invoice has been reconciled. Payment confirmation is based on the verified Stripe event and the corresponding invoice record.
10. Protected areas, passwords and access
Some areas are restricted to authorised clients, advisers or personnel. You must not attempt to access an area for which you have not been authorised. Credentials are personal to the authorised user unless we expressly permit shared access. You are responsible for safeguarding credentials, devices and sessions and must notify us promptly if you suspect unauthorised use.
11. Acceptable use
- No unauthorised access to systems, accounts, files or data.
- No interference with availability, security or normal operation.
- No malicious code, automated attacks or harmful payloads.
- No scraping or systematic extraction of content or personal information without written permission.
- No use of proprietary Site content to train or populate external models or databases without permission except where mandatory law allows it.
- No impersonation, misrepresentation, fraud or circumvention of controls.
12. Intellectual property
Unless otherwise stated, the Site and its branding, text, designs, software, assessments, scoring logic, frameworks, templates, tools, models, downloads and other materials are owned by or licensed to 0to1 Advisory or the relevant rights holder. You receive a limited, revocable, non-exclusive, non-transferable right to use public Site content for legitimate internal business purposes. Client-specific intellectual-property rights are governed by the applicable engagement agreement.
13. User submissions and confidentiality
Do not upload or submit information unless you have authority to provide it. Information submitted through a signed mandate, protected workspace or established client engagement will be handled according to the applicable confidentiality terms. General enquiries sent before an engagement should not include highly sensitive information unless requested by us.
14. Third-party websites and services
The Site may link to payment providers, exchanges, professional firms, public bodies, market infrastructure, data sources or other third-party services. A link does not by itself constitute endorsement or create responsibility for that third party. Third-party services are governed by their own terms, privacy practices and security controls.
15. Availability and security
We use reasonable measures to maintain the Site, but we do not guarantee uninterrupted, error-free or continuously available access. Maintenance, cyber incidents, network failures, provider outages or events outside our control may affect availability. We may suspend, restrict or change parts of the Site for security, legal, operational or maintenance reasons.
16. Fraud and impersonation
Users should verify unusual payment instructions, bank-account changes, requests for credentials or communications that appear inconsistent with prior instructions. 0to1 Advisory will not ask you to disclose a password by email. Suspected impersonation or fraudulent communication should be reported promptly to ta@0to1advisory.com.
17. Disclaimer of warranties
To the fullest extent permitted by applicable law, the public Site and public content are provided on an “as is” and “as available” basis. We do not warrant that public content is complete, current, error-free, suitable for every purpose or free from interruption or harmful components. Engagement-specific obligations are governed by the relevant signed agreement and are not reduced by this clause.
18. Limitation of liability
To the fullest extent permitted by law, 0to1 Advisory and its applicable affiliates, officers, directors, partners, employees, advisers and agents will not be liable for indirect, special, punitive, incidental, speculative or consequential losses arising solely from use of, inability to use, or reliance on the public Site. Nothing in these Terms limits liability that cannot lawfully be limited or liability expressly assumed under a signed engagement.
19. Indemnity for misuse
To the extent permitted by law, you agree to indemnify 0to1 Advisory against third-party claims, losses and reasonable costs arising from your unlawful misuse of the Site, infringement of third-party rights, unauthorised access using credentials under your control, or material breach of these Terms.
20. Privacy and cookies
Our processing of personal information is described in the Privacy Policy. Browser technologies are described in the Cookie Policy. Additional privacy or confidentiality terms may apply to specific engagements or protected workspaces.
21. Suspension and termination of Site access
We may suspend or withdraw access to the Site or a protected area where reasonably necessary for security, suspected misuse, legal compliance, termination of an engagement or protection of users or systems.
22. Changes
We may update the Site and these Terms from time to time. The current version will be posted with its effective date. Material changes affecting authenticated services may also be communicated through the relevant workspace or engagement channel where appropriate.
23. Governing law for website use
Except where mandatory law requires otherwise, these website Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any advisory engagement, transaction mandate or Work Order may specify a different governing law, and that engagement-specific choice will govern the relevant services.
24. Disputes relating to the public Site
The parties will first attempt in good faith to resolve any dispute relating solely to the public Site through written notice and discussions. Subject to mandatory law and any different forum agreed in a signed engagement, proceedings relating solely to these Terms may be brought in the state or federal courts located in Delaware, United States.
25. General provisions
If any provision is held unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. We may assign or transfer operation of the Site as part of a corporate reorganisation, business transfer or change of service provider, subject to applicable law.
